Terms and Conditions

The agreement between Pronttera and the bakeries that subscribe to Frostique. By creating an account, starting a free trial or purchasing a subscription, you accept these Terms together with our Privacy Policy, Refund Policy, Acceptable Use Policy, End User Licence Agreement and — where End-Customer data is processed — the Data Processing Addendum.

Last updated 11 October 2026

1. Definitions

These Terms govern access to and use of the Frostique platform, websites, dashboards, storefront infrastructure and mobile applications (together, the "Platform" or "Service"), operated by Pronttera, KPCT Mall, Fatima Nagar, Pune, Maharashtra, India. If you do not agree, do not use the Service.

  • "Storefront" — the white-label online cake-ordering website and experience Frostique hosts for your Shop under your branding.
  • "End Customer" — a person who browses or orders from your Storefront.
  • "Plan" — a subscription tier (for example Starter, Growth, Pro, or a negotiated Enterprise plan) with defined features and limits.
  • "Billing Cycle" — the period you pre-pay for: monthly, semiannual or yearly, as offered.
  • "Add-on" — additional purchasable capacity for a countable Plan limit, such as extra branches or products.
  • "Order" — a purchase made by an End Customer from your Storefront.

2. Eligibility and account

You must be at least 18 years old, use the Service for business purposes, and have authority to bind the business you register.

You agree to provide accurate, current information — including the billing address required at checkout and, optionally, your GSTIN — and to keep your credentials confidential. You are responsible for all activity under your account and for your team members’ access.

3. The service

Frostique provides a subscription-based platform to run your own branded online cake shop — including catalogue management, a live order queue, storefront hosting and other features according to your Plan. Features and limits differ by Plan and are enforced within the Platform.

We may improve, add or modify features. If we materially reduce core functionality of your Plan, we will give reasonable advance notice.

4. Free trial

  • 4.1 New Shops may start a one-month (30-day) free trial of a chosen Plan without providing any payment method. One trial per Shop or business; creating additional accounts to obtain repeat trials is prohibited and may lead to suspension.
  • 4.2 During the trial you receive the chosen Plan’s feature set, subject to fixed trial caps — currently 5 products, 1 branch and 2 team members. Add-ons cannot be purchased during a trial. Your Storefront is fully live and may accept real Orders.
  • 4.3 During the trial your Storefront displays a "Powered by Frostique" badge, which is removed after your first successful payment.
  • 4.4 On trial expiry, you must activate a paid subscription to continue. A short grace period — currently 3 days, with the Storefront live — applies to protect pending Orders, after which the Storefront is taken offline until payment.

5. Plans, fees and billing

  • 5.1 Fees. Subscription fees are listed at checkout in Indian Rupees and are payable in advance for the selected Billing Cycle. Longer cycles are priced as a "months free" discount off the monthly price.
  • 5.2 Taxes. Fees are exclusive of taxes. Where applicable, including GST once registered, taxes are added at the prevailing rate. Provide a valid GSTIN if you wish it to appear on invoices.
  • 5.3 Payment gateway fee. Payment gateway charges applicable to your transaction are borne by you and shown as a separate line item at checkout and on each renewal.
  • 5.4 Price changes. We may revise Plan or Add-on prices. A revision never affects a period you have already paid for; it applies from your next renewal, and we will notify you in advance by email or dashboard notice. Continued use after the effective renewal constitutes acceptance.
  • 5.5 Coupons. Promotional coupons may be limited by plan, billing cycle, validity window, total redemptions and per-Shop usage, and apply for the number of billing cycles stated on the coupon. Only one coupon may be active on a subscription at a time, and discounts apply to Plan fees only — not Add-ons, taxes or gateway fees. Coupons have no cash value and may be withdrawn in cases of misuse.
  • 5.6 Add-ons. Add-ons recur with your Plan on the same renewal date at your Billing Cycle’s multiplier. A mid-cycle Add-on purchase is charged pro-rata up to your current renewal date. Add-on removal takes effect at the next renewal; there are no partial-period refunds.

6. Payments and autopay

  • 6.1 Payments are processed by our payment partner, currently Razorpay, using UPI and cards. We do not store your full card or UPI credentials; we retain only gateway references.
  • 6.2 Autopay is optional. If you enable it, you authorise a recurring e-mandate under the applicable RBI framework. You will receive a pre-debit notification at least 24 hours before each auto-debit. Debits up to the regulatory per-transaction limit — currently ₹15,000 — execute automatically; charges above that limit require your per-transaction approval, for example a UPI PIN, which you must complete promptly. An unapproved charge is treated as a failed payment under section 8.
  • 6.3 If you do not enable autopay, you must pay each renewal manually by the renewal date. We send reminder emails in advance.

7. Plan changes

  • 7.1 Upgrades — a higher Plan, a longer cycle or added capacity — take effect immediately. You are charged the prorated difference for the remainder of the current cycle: (new price − old price) × days remaining ÷ days in cycle, with the exact amount shown before you confirm.
  • 7.2 Downgrades — a lower Plan or a shorter cycle — are scheduled for your next renewal. Nothing is charged or refunded now; you keep your current Plan until the period ends, and a scheduled downgrade can be undone any time before renewal.
  • 7.3 Over-limit downgrades. If your usage exceeds the target Plan’s limits, you choose which branches, products or team members remain active, and may purchase Add-ons for the excess. Unselected items are archived read-only at renewal — never deleted — and can be restored later subject to available capacity. If you make no selection, items within the limit remain active and the rest are archived, with advance notice.

8. Payment failure, grace and suspension

If a renewal payment fails — declined, mandate rejected, or a high-value approval not completed:

  • We retry automatically and notify you, while your Storefront stays live for a 7-day grace period.
  • If it is still unpaid, the Storefront is suspended and taken offline for up to 15 days. You may log in and pay at any time for instant restoration.
  • If it is still unpaid after that, the subscription is automatically cancelled and section 10.3 applies.

We may also suspend or restrict the Service for breach of this agreement, suspected fraud or abuse, or legal and regulatory risk.

9. Term, cancellation and refunds

Subscriptions renew each Billing Cycle until cancelled. You may cancel at any time from the dashboard; a cancellation reason is required. Cancellation takes effect at the end of the current paid period, your access continues until then, and any autopay mandate is revoked.

All fees are non-refundable except as stated in our Refund Policy. You may undo a scheduled cancellation before the period ends.

10. Data and content

  • 10.1 Your content. You retain all rights to content you upload — catalogue, images, prices, branch details — and to your business data. You grant Pronttera a non-exclusive, worldwide licence to host, process, display and transmit that content solely to provide and support the Service.
  • 10.2 End-Customer data. For personal data of End Customers processed through your Storefront, you are the Data Fiduciary and Pronttera acts as your Data Processor under the Data Processing Addendum. You are responsible for having a lawful basis, your own customer-facing privacy notice, and any required consents.
  • 10.3 On termination. After cancellation, voluntary or automatic, your data is retained in archived form for 90 days so you can reactivate or request an export, after which it is permanently deleted — or earlier upon your verified written request — except records we must retain by law, such as invoices and tax records.

11. Shop responsibilities and compliance

You are solely responsible for:

  • Holding and maintaining all licences required to sell food in India, including an FSSAI licence or registration, and complying with food-safety, labelling, allergen and weights-and-measures laws.
  • The quality, safety, description, pricing and availability of your products.
  • Fulfilment, delivery and customer service for Orders.
  • Taxes on your sales to End Customers.
  • Publishing your own storefront terms. For Orders paid online through Frostique, the cancellation and refund rules in section 7 of our Refund Policy apply; your own policy governs Orders paid in cash or at your store.
  • Accepting or declining Orders promptly, and telling customers about unavailable items through the platform, so the refund rules can work.
  • Lawful use of End-Customer contact data, including marketing consents.

12. End-Customer transactions

Contracts for Orders are formed solely between you and your End Customer. Pronttera is not the seller, manufacturer or fulfiller of any product, and is not responsible for the quality, safety or fulfilment of Orders.

Online payments. Where you turn on online payment, the End Customer pays through our payment partner, Cashfree Payments, using its split settlement. At the time of payment your share of the Order — the Order amount, less the online payment fee where you bear it — is allotted to your bank account, which is registered with Cashfree for this purpose, and Cashfree settles your share to that account directly, normally on the next working day, on Cashfree’s settlement schedule. Pronttera retains only the online payment fee and does not hold your share. Online payment is available only once Cashfree has verified your bank account, and is paused if that verification fails or is withdrawn.

Refunds of online payments are made through Cashfree to the End Customer’s original payment method, as set out in section 7 of our Refund Policy, including refunds you issue from your dashboard. The part of a refund that corresponds to your share is recovered from your share — from that Order’s settlement or, if it has already been settled to you, from your later settlements, as Cashfree applies it.

Online payment fee. You choose, for your brand or per branch, whether the online payment fee is included in your prices (deducted from your share) or paid by the End Customer as a separate line at checkout. The fee rate is set by Pronttera and shown before you choose.

13. Intellectual property

The Platform, its software and design, and the Frostique and Pronttera names and marks, are and remain the exclusive property of Pronttera and its licensors, protected by law. Your use is a limited licence under the End User Licence Agreement, not a sale. If you provide feedback or suggestions, we may use them without restriction or obligation.

14. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms.

15. Third-party services

The Service interoperates with third-party services such as Razorpay, Cashfree, WhatsApp and email providers. Those services are governed by their own terms, and we are not responsible for their acts, omissions or outages.

16. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted operation; maintenance, updates and factors beyond our control may cause downtime.

Support is provided according to your Plan, with priority support on eligible Plans, via [email protected]. Any uptime commitments apply only if separately agreed in writing, for example in an Enterprise order form.

17. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Pronttera disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will be error-free or secure, or that it will meet your revenue expectations.

18. Limitation of liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
  • Pronttera’s aggregate liability arising out of or relating to this agreement is limited to the fees you paid to Pronttera in the 12 months preceding the event giving rise to the claim.

Nothing limits liability that cannot be limited under applicable law.

19. Indemnity

You will defend and indemnify Pronttera against claims, losses and expenses, including reasonable legal fees, arising from: your products or food-safety matters; your content; your Orders and dealings with End Customers; your breach of this agreement or of law; or your taxes.

20. Termination by Pronttera

We may terminate this agreement:

  • For material breach not cured within 15 days of notice — immediately for breaches incapable of cure, unlawful use, or serious violations of the Acceptable Use Policy.
  • Automatically for non-payment, as described in section 8.

On termination, your Storefront goes offline and section 10.3 governs your data.

21. Changes to these terms

We may update these Terms by posting the revised version with a new "last updated" date and notifying you by email or in-dashboard notice. Changes that materially affect fees or billing take effect from your next renewal. Continued use after the effective date constitutes acceptance.

22. Governing law and jurisdiction

This agreement is governed by the laws of India, and the courts at Pune, Maharashtra, India have exclusive jurisdiction, subject to any mandatory law to the contrary.

23. General

Neither party is liable for delay or failure due to events beyond reasonable control. You may not assign this agreement without our consent; we may assign it to an affiliate, or in connection with a merger or sale. If a provision is unenforceable, the remainder stays in effect. This agreement is the entire agreement regarding the Service. Notices to you may be sent to your registered email; notices to us go to the contact below.
