1. Licence grant
This agreement is between Pronttera, KPCT Mall, Fatima Nagar, Pune, Maharashtra, India, and the Shop and its authorised users ("you"). By installing, accessing or using the Software you accept it.
Subject to an active Frostique trial or paid subscription and your compliance with the agreement, Pronttera grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software, solely: for your internal business of operating your bakery’s online storefront; through the number of team-member seats and within the feature limits of your plan and add-ons; and in accordance with the documentation.
2. Restrictions
Except as expressly permitted, or to the extent a restriction is prohibited by applicable law, you must not, and must not permit anyone to:
- Copy, modify, translate or create derivative works of the Software.
- Reverse engineer, decompile, disassemble or attempt to derive source code.
- Rent, lease, lend, sell, sublicense, distribute or otherwise provide the Software to any third party, or use it to operate a service bureau or a competing product.
- Circumvent, or attempt to circumvent, plan limits, feature gating, trial restrictions including the one-trial-per-shop rule, or security measures.
- Remove, obscure or alter proprietary notices, or use the Software to build a similar or competitive service.
- Use robots, scrapers or automated means to extract data from the Software beyond the features we provide, or access another tenant’s data.
3. White-label use and attribution
Your storefront is presented under your Shop’s branding. During a free trial, the storefront displays a "Powered by Frostique" badge, which is removed on your first successful payment.
You may not use the Frostique or Pronttera names, logos or marks except for this built-in attribution, or with our prior written consent.
4. Ownership
The Software is licensed, not sold. Pronttera and its licensors retain all right, title and interest in and to the Software, including all intellectual-property rights. Your content and business data remain yours, as described in the Terms and Conditions. If you provide feedback, ideas or suggestions, Pronttera may use them without restriction or obligation.
5. Updates
We may provide updates, patches or new versions, which may install automatically for hosted components and which are governed by this EULA. We may add, change or retire features as described in the Terms and Conditions.
6. Third-party and open-source components
The Software may include third-party services — for example payment processing by Razorpay and Cashfree — and open-source components, which are governed by their own licences and terms. A list of open-source attributions is available on request.
7. Mobile application stores
If you obtain a Frostique app through the Apple App Store or Google Play, that store’s terms also apply. Apple and Google are not parties to this EULA, have no support or warranty obligations for the Software, and are third-party beneficiaries entitled to enforce this EULA against you to the extent required by their policies.
8. Term and termination
This EULA is effective from your first use of the Software and continues while your trial or subscription is active. It terminates automatically when your subscription ends or is terminated under the Terms and Conditions, or immediately on your breach of this EULA.
On termination you must stop using the Software and delete any locally installed copies. Data handling after termination is governed by section 10.3 of the Terms and Conditions and by our Privacy Policy.
9. Disclaimer and liability
The Software is provided "as is" without warranties of any kind, to the maximum extent permitted by law.
Liability for any claim relating to the Software is limited as set out in section 18 of the Terms and Conditions: an aggregate cap of the fees paid in the preceding 12 months, and no indirect or consequential damages.
10. Governing law
This EULA is governed by the laws of India, with exclusive jurisdiction of the courts at Pune, Maharashtra, India, subject to any dispute-resolution clause in the Terms and Conditions.
